

Public Offer
On making a voluntary charitable donation
1. General Provisions
1.1. This public offer to make a voluntary charitable donation (the "Offer"), in accordance with Article 641 of the Civil Code of Ukraine, is the official and public proposal of the Charitable Organisation "Charitable Foundation Star for Life Ukraine", legal entity identification code 44977372, registered office: 18 Otakara Yarosha Street, Kharkiv, Kharkiv region, 61045, Ukraine, represented by its Director (Executive Director) acting on the basis of the Charter (the "Foundation"), addressed to an indefinite number of legally capable individuals and private-law legal entities — visitors to the website at https://www.sflua.org/ and https://starforlife.org.ua/ (the "Website") who voluntarily engage in charitable activity (each such person, the "Donor") — to conclude an agreement on a voluntary charitable donation (the "Agreement"), the subject matter and essential terms of which are set out below.
1.2. This Offer takes effect from the moment it is posted on the Foundation's Website and is valid indefinitely. The Foundation may amend or withdraw the Offer at any time (before its acceptance by a Donor) by posting the relevant information on the Website.
1.3. The Foundation is a charitable organisation operating under the Law of Ukraine "On Charitable Activities and Charitable Organisations" (No. 5073-VI dated 5 July 2012, as amended), the Civil Code of Ukraine, and other applicable Ukrainian legislation. The Foundation is a member of Star for Life International and an Associated Member of EuroChild.
2. Terms and Definitions
2.1. Acceptance — the full and unconditional acceptance of this Offer by the Donor through actions to transfer funds using the payment forms and means to the Foundation's accounts. The moment of acceptance is the date the funds are credited to the Foundation's current account.
2.2. Acceptance of the Offer means that the Donor agrees with all of its provisions, fully understands and agrees with the subject matter of the Agreement and the purpose of the public collection of charitable donations, has familiarised themselves with the Foundation's Charter, and agrees that the Foundation may use part of the donation for the Foundation's administrative expenses, in an amount no greater than permitted by Ukrainian law.
2.3. Voluntary Charitable Donation (the "Donation") — the gratuitous transfer of funds by the Donor into the ownership of the Foundation to achieve the goals, objectives, directions, and types of the Foundation's statutory activities under the Agreement and the Law of Ukraine "On Charitable Activities and Charitable Organisations".
2.4. Recurring (periodic) Donation — a Donation made automatically at a defined frequency (for example, monthly) on the basis of the Donor's consent to recurring charges through a payment service.
2.5. Beneficiary — a person who receives assistance within the Foundation's statutory activities, in particular children and young people affected by the armed conflict.
3. Subject Matter of the Agreement
3.1. The subject matter of this Agreement is the gratuitous and voluntary transfer by the Donor to the Foundation of funds (the Donation) to achieve the goals, objectives, directions, and types of the Foundation's statutory activities.
3.2. The Donor independently determines the amount of the Donation. The Donor bears all costs related to the transfer of the Donation (payment system fees, bank charges, etc.).
3.3. The purpose of this Agreement is not to obtain profit, directly or indirectly, by either Party.
3.4. The Agreement is concluded by the Donor's unconditional and full accession to this Agreement and acceptance of all its essential terms. The Donor may not propose their own terms of the Agreement.
3.5. The Donor and the Foundation, guided by Article 207, Part 2 of Article 639, and Articles 641 and 642 of the Civil Code of Ukraine, and Article 7 of the Law of Ukraine "On Charitable Activities and Charitable Organisations", agree that the Agreement is deemed concluded in writing — without the need for a written copy to be signed by the Parties — from the moment the Donor performs the actions provided for in this Agreement.
3.6. The Agreement is posted on the Website in free access, in a manner that allows every person who approaches the Foundation to familiarise themselves with it.
4. Methods and Currency of the Donation
4.1. A Donation may be made by any method available on the Website, including:

by bank payment card through the payment services integrated into the Website;
-
by bank transfer to the Foundation's details;

through other payment instruments available on the Website.
4.2. Payments are processed by independent payment service providers under their own terms. The Foundation does not store full payment card details of Donors.
4.3. Donations are accepted in Ukrainian hryvnia and, where technically available, in foreign currency. Currency conversion is carried out at the rate of the relevant payment service provider or bank.
4.4. Recurring Donation. By selecting the recurring donation option, the Donor consents to the automatic periodic charge of the amount they specify. The Donor may cancel a recurring donation at any time by contacting the Foundation at team@starforlife.org.ua or by using the relevant mechanism of the payment service. Cancellation does not affect charges already made.
5. Rights and Obligations of the Parties
5.1. The Foundation has the right to:

receive Donations and use them to achieve the goals of its statutory activities;

use part of a Donation for administrative expenses, within the limits permitted by Ukrainian law;

decline a Donation or return it in the cases set out in Section 6 of this Agreement.
5.2. The Foundation undertakes to:

use Donation funds strictly in accordance with Ukrainian law and only within its statutory activities;

at the Donor's request, provide information on the Donation received and its use;

protect the Donor's personal data in accordance with the Privacy Policy.
5.3. The Donor has the right to:
-
make a Donation in the manner set out in this Agreement;
-
receive information on the use of their Donation;
-
cancel a recurring donation at any time.
5.4. The Donor undertakes to:
-
read carefully all terms of the Offer and accept them when making a Donation;
-
provide accurate information when making the transfer;
-
not use funds obtained by unlawful means for a Donation.
6. Refunds. Fraud Prevention
6.1. As a general rule, in accordance with Article 730 of the Civil Code of Ukraine and the nature of a charitable donation, a Donation is voluntary and is not subject to return to the Donor.
6.2. By way of exception, a refund may be made in the following cases:

a technical error during payment processing (for example, a double charge);
-
a transfer made as a result of fraudulent actions by third parties using the Donor's payment details without their consent;
-
an obvious error in the amount, not caused by the Foundation, provided the Donor contacts the Foundation within a reasonable time.
6.3. A refund request is submitted to team@starforlife.org.ua, stating the date, amount, payment method, and circumstances. The Foundation reviews the request within 14 business days.
6.4. To prevent fraud, the Foundation does not process refunds until the payment dispute (chargeback) windows established by the relevant payment systems have fully closed. Requests to refund amounts exceeding a threshold set by the Foundation are reviewed separately by an authorised person of the Foundation.
6.5. The Foundation reserves the right to decline or return a Donation where: the Donor is subject to international sanctions; there is reasonable suspicion of money laundering or financing of prohibited activity; or accepting the Donation would conflict with the Foundation's values, mission, or legal obligations.
7. Place and Term of Donation Collection
7.1. Donations are collected in any country of the world.
7.2. Donations are collected until the liquidation of the Foundation, unless the Foundation determines otherwise.
8. Access to the Foundation's Reports
8.1. The Foundation publishes on the Website a general report on the use of Donations for the relevant reporting period.
8.2. Other information may be provided by the Foundation in the manner and within the time limits provided by Ukrainian law, including upon an individual request from a Donor.
9. Personal Data
9.1. The Foundation processes the Donor's personal data, provided when visiting the Website and/or making a transfer, for the purpose of the proper performance of this Agreement and the Foundation's statutory activities.
9.2. Personal data is processed in accordance with the Law of Ukraine "On the Protection of Personal Data" (No. 2297-VI dated 1 June 2010, as amended) and with the voluntary application of the principles of the EU General Data Protection Regulation (GDPR) to residents of the European Economic Area, the United Kingdom, and Switzerland.
9.3. Detailed information on the processing of personal data is set out in the Privacy Policy available on the Website.
10. Protection of Children
10.1. The Foundation operates in the interests of children and young people and adheres to the international Keeping Children Safe (KCS) standards and the Law of Ukraine "On the Protection of Childhood".
10.2. Donations are used solely for statutory charitable purposes and never for the private benefit of any individual. The Foundation does not transfer funds directly to individual children outside its programmes and established procedures.
11. Other and Final Provisions
11.1. The Donor is responsible for the accuracy of the information provided when making a Donation.
11.2. The provisions of the current legislation of Ukraine apply to the relationship between the Donor and the Foundation.
11.3. The Foundation's liability for breach of this Agreement or of the procedure for using a Donation arises on the grounds, in the amount, and in the manner prescribed by the current legislation of Ukraine.
11.4. Disputes between the Parties are resolved through negotiations. If a dispute cannot be resolved through negotiations, it is considered by the courts in the manner established by the current legislation of Ukraine.
11.5. The invalidity of any individual provision of this Agreement does not affect the validity of its other provisions.
11.6. This Agreement is drawn up in Ukrainian. An English version may be published for convenience. In the event of any discrepancy, the Ukrainian version prevails.
